SERTA ADOPT-A-SHEEP FOR THE FIGHT AGAINST CANCER – TERMS & CONDITIONS AND DISCLOSURE STATEMENT 

These Terms & Conditions and Disclosure Statement (collectively, the “Statement”) set forth the details regarding Serta, Inc.’s (“Serta”) “Adopt-a-Sheep for the Fight Against Cancer” campaign (the “Campaign”) for the benefit of City of Hope (“COH”) and its cancer research, treatment, and education activities.  Please read this Statement carefully. It contains very important information about Serta’s participation in the Campaign, the limitations and exclusions that may apply, and how you can obtain additional information.  

GENERAL TERMS OF CHARITABLE CONTRIBUTION

1. Purpose of the Campaign:  Serta is working with COH as the sponsor of the Campaign to help raise money to support cancer research, treatment, and education.  All charitable donations raised by the Campaign shall be given to COH for these purposes.

2. Description and Eligible Transactions: Serta will manufacture and distribute approximately one hundred thousand (100,000) limited edition Serta Counting Sheep plush toys (the “Products”).  Serta will make a donation to COH for each Product that is (a) sold by Serta to its independent retail distributors, who may then give such Products to customers or members of the general public free of charge, (b) sold to the general public directly via Serta’s website at www.serta.com, or (c) one of the first twenty-five thousand (25,000) Products registered on Serta’s website during the Campaign, which will be conducted from October 1, 2011, through December 31, 2012.  

3. Contribution by Serta:  Serta will contribute the sum of one dollar and fifty cents (U.S. $1.50) to COH for each Product sold or registered in the manner described above, subject to the limitation that Serta will contribute the sum of one dollar and fifty cents (U.S. $1.50) to COH for only the first twenty-five thousand Products registered on Serta’s website.  No portion of the one dollar and fifty cents (U.S. $1.50) contribution will be retained by Serta for costs or other expenses; the entire one dollar and fifty cents (U.S. $1.50) will be paid to COH.  In addition, if any independent retail distributor or member of the general public makes an additional donation to COH in connection with the Campaign during the Campaign period identified above, Serta will collect and forward such additional donations to COH. There is no guaranteed minimum or maximum total contribution. 

4. Miscellaneous: Serta will retain the gross receipts from the sale of each product.

5. City of Hope: City of Hope is a California nonprofit corporation that raises funds through charitable fund raising to support medical research by the Beckman Research Institute of the City of Hope and the clinical activities of City of Hope National Medical Center. COH will use Serta’s charitable contribution to support cancer research, treatment, and education.  

6. 7. No Compensation: Serta has not received any compensation or reimbursements from COH for participating in the Campaign.

8. Commercial Co-Venture: The Campaign is a “commercial co-venture” or “charitable sales promotion,” as those terms are sometimes used under state law.  

9. Florida: A COPY OF THE OFFICIAL REGISTRATION AND FINANCIAL INFORMATION FOR COH MAY BE OBTAINED FROM THE FLORIDA DIVISION OF CONSUMER SERVICES BY CALLING TOLL FREE AT 1-800-435-7352 WITHIN THE STATE.  REGISTRATION DOES NOT IMPLY ENDORSEMENT, APPROVAL, OR RECOMMENDATION BY THE STATE.  COH’S REGISTRATION NUMBER IN FLORIDA IS _______________.  

10. Mississippi:  The official registration and financial information of COH may be obtained from the Mississippi Secretary of State’s office by calling 1-888-236-6167.  Registration by the Secretary of State does not imply endorsement by the Secretary of State.

11. New Jersey: INFORMATION FILED WITH THE ATTORNEY GENERAL CONCERNING THIS CHARITABLE SOLICITATION AND THE PERCENTAGE OF CONTRIBUTIONS RECEIVED BY THE CHARITY DURING THE LAST REPORTING PERIOD THAT WERE DEDICATED TO THE CHARITABLE PURPOSE MAY BE OBTAINED FROM THE ATTORNEY GENERAL OF THE STATE OF NEW JERSEY BY CALLING 973-504-6215 AND IS AVAILABLE ON THE INTERNET AT http://www.state.nj.us/lps/ca/charfrm.htm. REGISTRATION WITH THE ATTORNEY GENERAL DOES NOT IMPLY ENDORSEMENT.  

12. New York: Upon request, you may obtain from COH at 1055 Wilshire Boulevard, Los Angeles, CA 90017 or from the Attorney General of the State of New York a copy of the last financial report filed by COH with the Attorney General of the State of New York by contacting the Attorney General's Office, Charities Bureau, 120 Broadway, New York, NY 10271. 

13. North Carolina: Financial information about COH and a copy of its license are available from the State Solicitation Licensing Branch at P.O. Box 29622, Raleigh, NC 27626-0622.  This license is not an endorsement by the State of North Carolina. 

14. Pennsylvania:  The official registration and financial information of COH may be obtained from the Pennsylvania Department of State by calling toll free, within Pennsylvania, 1-800-732-0999.  Registration does not imply endorsement.  

15. Virginia: COH’s financial statement is available from the Virginia State Office of Consumer Affairs in the Department of Agriculture and Consumer Services upon request.

16. Washington State: Please contact the Office of the Secretary of State, Charities Bureau, 801 Capitol Way South, P.O. Box 40234, Olympia, WA 98504-0234, 1-800-332-4483 to obtain additional financial and other information on file.  COH is currently registered with the Secretary of State’s office under the Charitable Solicitation Act. 

17. West Virginia:  West Virginia residents may obtain a summary of the registration and financial documents of COH from the Secretary of State, State Capitol, Charleston, West Virginia 25305. Registration does not imply endorsement.
